1. Overview

Welcome to ESSENTIA.

These Terms of Service (“Terms”) govern your access to and use of the ESSENTIA website, online store, digital products, content, tools and related services (collectively, the “Services”).

ESSENTIA operates this store using Shopify, which provides the ecommerce platform that enables us to offer our products and Services to you.

By accessing the website, placing an order or using any of our Services, you agree to be bound by these Terms, together with our Privacy Policy and Refund Policy.

If you do not agree with these Terms, you should not use the Services.

2. Eligibility and Customer Information

You must be legally capable of entering into a binding contract in your jurisdiction to purchase from ESSENTIA.

When placing an order, you agree to provide accurate, current and complete information, including your name, email address, billing information and payment details where required.

You are responsible for keeping any account credentials secure and for activity carried out through your account.

3. Digital Products

ESSENTIA primarily sells digital basketball coaching products, including downloadable guides, templates, planners and related educational materials.

No physical product will be shipped unless expressly stated on the relevant product page.

Product descriptions, images, previews and examples are provided to help you understand the content of the product. Minor visual differences may occur depending on the device, software or display used to access the product.

We may update, modify, improve or discontinue products from time to time.

4. Orders and Acceptance

When you place an order, you are making an offer to purchase the selected product.

An order is accepted once payment has been successfully processed and we provide confirmation of the purchase.

We reserve the right to reject or cancel an order where reasonably necessary, including in cases of suspected fraud, pricing errors, technical errors, unauthorized payment activity or misuse of the Services.

If an order is cancelled after payment has been collected, any applicable refund will be processed using the original payment method.

5. Prices, Taxes and Payment

Prices displayed on the website may vary depending on the customer's market, location and currency.

The price charged will be the price displayed and confirmed at checkout at the time the order is placed.

Applicable taxes may be added, included or calculated at checkout depending on your location and applicable law.

Payments are processed through Shopify and/or supported third-party payment providers.

You represent that you are authorized to use the payment method provided.

6. Digital Delivery

Digital products are generally made available electronically after successful payment.

Delivery may occur through one or more of the following:

  • an immediate download page;
  • an order confirmation page;
  • an email containing access or download instructions;
  • a customer account or other digital delivery system.

You are responsible for providing a valid email address and for ensuring that you can access the files on a compatible device.

7. 14-Day Money-Back Guarantee

Certain eligible ESSENTIA digital products are covered by a voluntary 14-day money-back guarantee, as stated on the relevant product page.

If an eligible product does not meet your coaching needs, you may contact us within 14 days of purchase and request a refund.

Refund eligibility and exclusions are further explained in our Refund Policy.

The voluntary money-back guarantee is separate from, and does not limit, any mandatory consumer rights that may apply under applicable law.

8. EU and EEA Digital Content Rights

If you are a consumer located in the European Union or European Economic Area, mandatory consumer protection laws may apply to your purchase.

For digital content supplied immediately after purchase, the statutory right of withdrawal may cease once performance begins where, as required by applicable law, the consumer:

  • expressly consents to immediate supply of the digital content; and
  • acknowledges that beginning supply may result in the loss of the statutory right of withdrawal.

Where the statutory right of withdrawal continues to apply, ESSENTIA will respect all mandatory rights available to the consumer.

Nothing in these Terms is intended to exclude or restrict rights that cannot lawfully be excluded.

For eligible EU purchases, applicable electronic withdrawal or cancellation tools may also be provided through the store in accordance with applicable law. Shopify states that EU online sellers are subject to an electronic withdrawal-function requirement introduced on June 19, 2026.

9. License to Use Digital Products

When you purchase an ESSENTIA digital product, you receive a limited, personal, non-exclusive, non-transferable license to use the product for your own coaching or personal professional use.

Unless we expressly authorize otherwise in writing, you may not:

  • sell or resell the product;
  • redistribute the product;
  • upload the product to public websites, shared drives, forums or file-sharing platforms;
  • share the purchased files with other coaches, teams, organizations or third parties;
  • reproduce or distribute substantial portions of the product;
  • remove copyright, branding or ownership notices;
  • use the product to create a competing product for resale;
  • claim the content as your own.

You may download, store and print the product for your own permitted use.

10. Intellectual Property

All content provided through ESSENTIA, including guides, templates, diagrams, text, graphics, logos, branding, videos, images, layouts and downloadable materials, is owned by or licensed to ESSENTIA and is protected by applicable intellectual property laws.

Except for the limited license granted under these Terms, no ownership rights are transferred to you.

All rights not expressly granted are reserved.

11. Educational Purpose and No Guaranteed Results

ESSENTIA products are educational and organizational resources intended to assist basketball coaches.

Results will vary depending on factors including coaching experience, athletes, team level, implementation, competition and other circumstances outside our control.

We do not guarantee specific sporting outcomes, wins, scoring improvements, player development results or financial results from the use of our products.

Testimonials, reviews, examples and case studies reflect individual experiences and should not be interpreted as guaranteed outcomes.

12. Prohibited Uses

You may not use the Services or our products:

  • for unlawful purposes;
  • to violate intellectual property rights;
  • to distribute malware or harmful code;
  • to interfere with or attempt to compromise the security of the website;
  • to scrape, copy or systematically extract content without permission;
  • to impersonate another person;
  • to commit fraud or payment abuse;
  • to redistribute or resell our digital products without authorization.

We may suspend or restrict access where we reasonably believe these Terms have been violated.

13. Third-Party Services

The Services may rely on or link to third-party platforms and providers, including Shopify, payment processors, analytics providers and other technology services.

Third-party services may be governed by their own terms and privacy policies.

We are not responsible for independent third-party websites or services outside our control.

14. Relationship with Shopify

ESSENTIA is powered by Shopify, which enables us to provide the ecommerce Services.

However, purchases made through our store are transactions directly between you and ESSENTIA.

Shopify is not the seller of ESSENTIA products.

Certain data may be processed by Shopify in accordance with Shopify's own terms and privacy policies.

15. Privacy

Our collection and use of personal information is described in our Privacy Policy.

By using the Services, you acknowledge that personal information may be processed by ESSENTIA, Shopify and other authorized service providers where necessary to operate the store, process orders, deliver products, provide support and comply with legal obligations.

16. Feedback and Reviews

If you voluntarily submit a review, testimonial, feedback or other content to ESSENTIA, you confirm that:

  • the content reflects your genuine experience;
  • you have the right to provide it;
  • it does not infringe the rights of another person;
  • it is not unlawful, misleading or defamatory.

Where permitted by law, you grant ESSENTIA a non-exclusive, worldwide, royalty-free license to use, reproduce and display voluntarily submitted feedback or reviews for business and marketing purposes.

We may remove content that violates these Terms or applicable law.

17. Errors and Inaccuracies

We may occasionally make typographical, pricing, technical or product-description errors.

We reserve the right to correct errors, update information or cancel an affected order where reasonably necessary.

If an order is cancelled because of an error after payment has been collected, the applicable amount will be refunded.

18. Availability of the Services

We aim to keep the website and digital delivery systems available, but we do not guarantee uninterrupted or error-free access at all times.

Temporary interruptions may occur because of maintenance, software updates, third-party outages, security issues or circumstances outside our reasonable control.

If a technical issue prevents access to a purchased product, contact our support team so we can assist you.

19. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Services and products are provided on an “as is” and “as available” basis.

We do not provide warranties beyond those expressly stated in these Terms, our Refund Policy or any mandatory rights provided by applicable law.

Nothing in these Terms excludes statutory warranties or consumer rights that cannot legally be excluded.

20. Limitation of Liability

To the fullest extent permitted by law, ESSENTIA will not be liable for indirect, incidental, special or consequential losses arising from use of the Services or digital products.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

For consumers, mandatory consumer protection rights remain unaffected.

21. Suspension or Termination

We may suspend or terminate access to the Services where reasonably necessary, including where there is:

  • fraud;
  • payment abuse;
  • unauthorized redistribution;
  • material violation of these Terms;
  • unlawful activity;
  • misuse of ESSENTIA content or intellectual property.

Termination does not affect rights or obligations that arose before termination.

22. Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will continue in effect.

23. Entire Agreement

These Terms, together with the Privacy Policy, Refund Policy and other policies expressly incorporated by reference, form the agreement between you and ESSENTIA regarding use of the Services.

24. Governing Law

These Terms are governed by the laws of Italy, subject to any mandatory consumer protection laws that apply in the consumer's country of residence.

If you are a consumer, nothing in this section deprives you of protections granted by mandatory laws applicable to you.

Any disputes will be handled by the competent courts determined under applicable law.

25. Changes to These Terms

We may update these Terms from time to time to reflect changes to our Services, business practices or legal obligations.

The latest version will be published on this website with an updated “Last updated” date.

Where required by law, we will provide appropriate notice of material changes.
